The Background That Matters

Most business attorneys have only ever worked inside law firms. Michael spent over 20 years inside major corporate and insurance institutions before practicing law. He has been in the room when large organizations make legal decisions. That experience changes how he reads a contract — and what he knows to look for.

Common Questions

Business Law FAQ

Should I form an LLC or an S-Corp for my business?
It depends on your income level, how you plan to pay yourself, and your long-term goals. For most small West Michigan businesses, an LLC with S-Corp tax election is the right answer — but this is a decision worth discussing with both your attorney and your CPA before filing anything.
Do I need an attorney to review my commercial lease?
You do not need one, but you should have one. Commercial leases are complex, heavily favor landlords in their standard form, and bind you for years. A one-time attorney review is among the most cost-effective legal investments a small business owner can make.
My business partner and I are having a dispute. What are my options?
Your options depend on what your operating agreement says — which is exactly why a well-drafted operating agreement matters. Without one, Michigan’s default LLC rules apply, which may not reflect what you and your partner intended. Call and describe the situation. We can usually identify your strongest path quickly.
